XanCall - Terms & Conditions

1. Definitions
In this agreement the following terms shall have the meaning indicated: “The Customer” shall mean the person, company or organisation to whom Office Helper agrees to provide the service.  “Agreement” shall mean the contract between Office Helper and the Customer to which these conditions apply.  “Service Charge” shall be the standing charge.

2. Scope  
a) This Agreement applies to all call handling and message taking services the Customer orders from Office Helper.

3. Office Helper’s Duties 
a) Subject to agreement by Office Helper, duties to the Customer shall consist of any or all of the following services: receiving of incoming telephone, fax, e-mail messages intended for the Customer and the dispatch to the Customer of these messages by telephone, fax, e-mail, SMS or post.

4. Advertising
a) The Customer agrees not to use Office Helper’s address in the press, publications or products without prior consent from Office Helper.

5. Contract Duration
a) For all service packages except for PayAsYouGo and TakeABreak the Agreement shall be for a period of three months. Thereafter it may be terminated by the Customer with one month’s written notice prior to the Customer’s next invoice date.
b) PayAsYouGo service Agreement shall be for a period of one month.  Thereafter it may be terminated by the Customer with one month’s written prior to the Customer’s next invoice date.
c) TakeABreak service Agreement will be for a fixed period of days or weeks as specified in the Agreement.

6. Charges and Payment      
a) All sums due to Office Helper under this agreement shall be payable by the Customer on receipt of Office Helper’s invoice.
b) Should any customer payment under this agreement remain outstanding following receipt of an invoice, Office Helper may at it’s sole discretion, withhold the delivery of messages and/or the taking of messages on Behalf of the Customer.
c) The customer agrees to reimburse Office Helper all legal costs incurred by Office Helper in connection with any legal proceedings taken by Office Helper against the Customer to recover sums outstanding under this agreement.
d) All invoices submitted by Office Helper shall be treated as agreed unless the Customer notifies Office Helper of any discrepancies within 14 days of the date of the invoice.
e) The Service Charge is payable monthly in advance by direct debit, on the same day each month. Office Helper will invoice the Customer for any additional charges over and above those covered in the monthly Service Charge to be paid within 14 days.
f) Office Helper will at its discretion assign each Customer a credit limit in the event the aggregate value outstanding from the Customer exceeds this limit Office Helper reserves the right to terminate the service forthwith.
g) In the event Office Helper considers that the Customer will not adhere to its terms and conditions, or that it will not be able to provide the service to the Customer Office Helper reserves the right to terminate this Agreement.

7. Information
a) The Customer undertakes to provide Office Helper all information and co-operation that Office Helper reasonably requires to enable Office Helper to perform and observe its obligation under this Agreement.

8. Diversion Facility
a) The Customer confirms that it is the Customer’s responsibility to ensure that the divert facility is properly set-up by their network provider.
b) The Customer confirms that it is the Customer’s responsibility that all software and hardware used to receive messages is properly set-up by their network provider.

9. Equipment and Software
a) All software and hardware in whatever form provided by Office Helper for the purpose of using the service remains the property of Office Helper. Office Helper grants the customer a non-exclusive, non-refundable license to use any such software, shall keep it in confidence and shall not make any modifications to it.

10. Data
a) Information about individual clients and their employees is kept strictly confidential in accordance with the Data Protection Act 1998.

11. Assignment
a) Office Helper shall have the right to assign or otherwise delegate all or any of its rights and obligations Under this agreement to associate companies or other persons on serving 30 days notice to the Customer.

12. Damages
a) The Customer agrees with Office Helper that liability for any damages arising out of the provision of the service to the Customer by Office Helper whether caused by Office Helper’s negligence or otherwise is limited to actual damages and shall in any event not exceed L100 (one hundred pounds). The Customer and Office Helper agree that as damages would be difficult to ascertain and quantify this provision liquidates the damages
and is not a penalty.

13. Confidentiality
a) Office Helper shall treat all messages as confidential. However, should Office Helper  be served with an appropriate Court Order Office Helper shall disclose such information as required by law enforcement agencies.

14. Force Majeure
a) Neither the Customer nor Office Helper shall be liable for any loss or damage which may be suffered by the other due to causes beyond the first party’s control including acts of God, weather, failure or interruptions in power supply, flood, drought, lightning, fire, strike, lock-out, trade disputes, Government action, riot or failure or interruptions suffered by network providers.

15. Property
a) The Customer agrees that it will not use the service for any improper, immoral or illegal purpose and confirms that such use constitutes grounds for immediate termination of their service by Office Helper.
b) The Customer undertakes not to send or deliver or cause to be delivered to Office Helper’s premises any noxious, harmful, illegal, immoral, perishable, dangerous or bulky items/material and in the event of such a delivery Office Helper reserves the right to refuse to accept the items/material.

16. Notice
a) Any notice, invoice or other document issued by Office Helper shall be deemed to have been delivered if left at, sent by post, facsimile or email transmission to the address given on this Agreement unless otherwise advised by the Customer. Office Helper’s address shall be that shown on this agreement.

17. Governing Law
This Agreement shall be interpreted with English Law and both parties agree to be bound by the jurisdiction of the English Courts.
